How do we protect your information?

We implement a variety of security measures to maintain the safety of your personal information. We offer the use of a secure server for transmissions of personal information to and from our Web Site. All supplied sensitive information (including credit information) is transmitted via Secure Socket Layer (SSL) technology. Then, it is encrypted into our payment gateway providers database. This database is only accessible by those authorized with special access rights to such systems and required to keep the information confidential. After a transaction, your credit card information will not be stored on our servers.

Acceptance of the Terms and Conditions.

Advanced Practice Strategies, Inc. (herein referred to as the “Company,” “we,” “us”, “our”, or “APS”) provides and makes available this web site (the “Web Site”). All use of the Web Site is subject to the terms and conditions contained in this Terms of Use Agreement (the “Agreement”). Please read this Agreement carefully. Courseware.

The Content includes the courses and all accompanying materials accessible through this site (“Courseware”). You agree and acknowledge that the Courseware was developed as educational resources to assist health care professionals in assessing and evaluating issues related to patient safety and risk management in the clinical and institutional setting. However, in view of ongoing research, changes in government regulations, and the constant flow of information relating to medical practice, you agree to check other published sources for current practice standards and guidelines and not to rely solely on the information presented in the Courseware.

You agree and acknowledge that the Courseware does not define a standard of care and is not intended to dictate medical treatment or procedures. You agree and acknowledge that proper care of individual patients depends on many individual factors to be considered in clinical practice as well as professional judgment in the techniques described herein. You agree and acknowledge that clinical circumstances naturally vary and professionals must use their own best judgment in accordance with patients' needs and preferences, professional standards, and institutional rules. The Courseware is not intended to replace ongoing evaluation of knowledge and skills in the clinical setting and must not be used in hiring, promotion, or termination decisions, or in resolving legal disputes or issues of liability.

Assessments.

The Content includes the assessments accessible through this site that are designed and intended to elicit information from you and other users concerning the handling, treatment, and resolution of issues related to patient safety and techniques of practice (“Assessments”).

You agree that the Assessments are confidential information of the Company, and that your use of the Assessments is pursuant to a limited, terminable, revocable license from the Company solely for the purpose of responding to the Assessments in connection with your use of the Web Site under this Agreement. You represent, warrant, and covenant that you will not copy, distribute, or in any way disseminate any or all of the questions comprising the Assessments. You further represent, warrant, and covenant that you will complete the Assessments solely utilizing your unaided memory, and that you will not consult any third parties or external materials in responding to the Assessments.

In consideration for your use of the Web Site, you hereby assign and transfer, and, to the extent any such assignment or transfer cannot be made at the present time, agree to assign and transfer to the Company all your right, title and interest throughout the world in and to the information that you provide in response to the Assessments and through your use of the Web Site.

APS, the authors and experts contributing to the Courseware (“Courseware Authors”), and their respective sponsoring organizations are not responsible for errors or omissions in the Courseware or for any consequences from application of the information in the Courseware and make no warranty, expressed or implied, with respect to the contents of the Courseware.

APS represents and warrants that it either owns or has sufficient legal rights in the Courseware and will defend, indemnify and hold harmless any authorized user of the Courseware for any claims alleging misappropriation or infringement of third party intellectual property rights arising from that user’s authorized use of the Courseware.

The Company shall provide notice to you of any such claim, suit, or proceeding. The Company reserves the right to assume the exclusive defense and control of any matter which is subject to indemnification under this section. Termination of the Agreement.

The Company reserves the right, in its sole discretion, to restrict, suspend, or terminate this Agreement and your access to all or any part of the Web Site or the Content at any time and for any reason without prior notice or liability. The Company reserves the right to change, suspend, or discontinue all or any part of the Web Site or the Content at any time without prior notice or liability.

Sections 2 (Use of the Web Site), 5 (Limitation of Liability and Warranty), 6 (Indemnification), 7 (Termination of Agreement), and 10 (Miscellaneous) shall survive the termination of this Agreement.

User Must Comply with Applicable Laws.

We make no claims concerning whether the Content may be downloaded, viewed, or be appropriate for use outside of the United States. If you access the Web Site or the Content from outside of the United States, you do so at your own risk. Whether inside or outside of the United States, you are solely responsible for ensuring compliance with the laws of your specific jurisdiction.

This Agreement is governed by the internal substantive laws of the Commonwealth of Massachusetts, without respect to its conflict of laws provisions. You expressly agree to submit to the exclusive personal jurisdiction of the state and federal courts sitting in Suffolk County in the Commonwealth of Massachusetts. If any provision of this Agreement is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. Failure of the Company to act on or enforce any provision of the Agreement shall not be construed as a waiver of that provision or any other provision in this Agreement. No waiver shall be effective against the Company unless made in writing, and no such waiver shall be construed as a waiver in any other or subsequent instance. Except as expressly agreed by the Company and you, this Agreement constitutes the entire Agreement between you and the Company with respect to the subject matter, and supercedes all previous or contemporaneous agreements, whether written or oral, between the parties with respect to the subject matter. The section headings are provided merely for convenience and shall not be given any legal import. his Agreement will inure to the benefit of our successors, assigns, licensees, and sublicensees. Any information submitted or provided by you to the Web Site might be publicly accessible. Important and private information should be protected by you.
